Rockwell Medical to Acquire Majority of Vantive’s Hemodialysis Business

Under the agreement, Rockwell Medical will acquire Vantive’s hemodialysis concentrates, monitors, water treatment systems, related consumables and technical services business, as well as its manufacturing facility in Italy.

Vantive to Divest Majority of Hemodialysis Business to Rockwell Medical

Vantive has entered into a definitive agreement with Rockwell Medical to divest the majority of the assets and associated operations of its hemodialysis (HD) business.

Under the agreement, Rockwell Medical will acquire Vantive’s hemodialysis concentrates, HD monitors and water treatment systems, along with related consumables and technical services.

The transaction also includes the transfer of ownership of Vantive’s 93,000-square-metre manufacturing campus in Medolla, Italy, subject to the terms and conditions of the agreement. The facility currently manufactures dry concentrate cartridges, HD machines, related parts and consumables, and water treatment systems supporting Vantive’s broader HD portfolio.

The deal marks a strategic step in Vantive’s evolution towards a more focused portfolio centred on chronic disease management and critical care intervention.

“We see a significant opportunity to close the gap between the care we know is possible and the care patients and providers experience today,” said Chris Toth, CEO of Vantive.

He added that the company would focus its expertise and scale on making care more accessible, simpler to deliver and more effective, whether through long-term home-based therapies or critical care interventions in intensive care units.

Toth said Rockwell Medical was well positioned to support the continued development of the hemodialysis business, citing its specialised focus on the therapy.

He added that the companies would work together during the transition to maintain continuity of care and reliable access to products, services and support for patients and healthcare providers.

Rockwell Medical’s global expansion strategy

For Rockwell Medical, the acquisition represents a significant step in its long-term strategy to evolve from a US-based concentrates business into a more diversified global supplier of hemodialysis products and services.

Based on current assumptions, including operational performance, foreign exchange rates, market conditions and successful integration, Rockwell Medical estimates that the combined business could generate annual revenue of USD 400 million to USD 450 million.

The acquisition is expected to expand the company’s product portfolio, commercial reach and revenue streams across HD concentrates, HD machines, water treatment systems, related consumables and technical services.

“Acquiring Vantive’s hemodialysis assets and associated operations represents a transformative step in Rockwell Medical’s evolution and directly advances the strategy we have been executing over the past several years,” said Mark Strobeck, President and CEO of Rockwell Medical.

He said the transaction could accelerate the company’s next phase of growth by adding product breadth, global distribution capabilities, manufacturing and R&D infrastructure, technical services and recurring revenue streams that would otherwise take years to develop organically.

“We believe the combined businesses will expand our ability to serve dialysis providers and patients across the global hemodialysis ecosystem and creates a stronger platform for growth, innovation and long-term value creation for customers, patients, employees and shareholders,” Strobeck added.

Deal structure and timeline

Under the agreement, the aggregate base purchase price is USD 125 million, subject to customary adjustments. The consideration will be financed through two USD 50 million term loans from Vantive and a USD 25 million convertible note issued to Vantive.

Vantive may also receive up to USD 45 million in additional contingent consideration, subject to the achievement of specified revenue and EBITDA milestones.

The transaction is expected to close in mid-2027, subject to the receipt of required regulatory approvals and the satisfaction or waiver of other customary closing conditions.

Vantive’s dialyzer portfolio, including the Theranova dialyzer, which enables HDx (expanded hemodialysis) therapy, is excluded from the transaction.
